Terms of Service

Vertex is operated by مؤسسة تيكنومايندز (Technominds Establishment), Unified/Commercial Registration No. 7053119298, Kingdom of Saudi Arabia.

1. Acceptance of Terms

By accessing or using Vertex (“the Service”), you agree to be bound by these Terms of Service. The Service is operated by مؤسسة تيكنومايندز (Technominds Establishment), Unified/Commercial Registration No. 7053119298, Kingdom of Saudi Arabia. If you are entering into these terms on behalf of a business, you represent that you are authorized to bind that business. If you do not agree, do not use the Service.

2. Definitions

“Vertex”, “we”, or “us” means Technominds Establishment and the Vertex product suite. “You” or “merchant” means the account holder. “Customer” means a merchant's own end-customer whose data is processed through the Service. “App” means an individual application within the Vertex suite.

3. The Services & Suite

Vertex is a suite of applications for Zid and Salla merchants, including WhatsApp marketing, abandoned-cart recovery, lifecycle messaging, analytics, and related commerce tools. We may add, change, or remove features and individual apps over time. Each app does what its description states; we do not promise capabilities we have not built.

4. Accounts & Eligibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information, be legally able to enter into a contract, and comply with the laws of the Kingdom of Saudi Arabia and any other laws that apply to your business.

5. Connecting Your Store

To use the Service you connect your Zid or Salla store through the platform's authorized OAuth flow. You authorize us to access and process the store data necessary to deliver the Service. You are responsible for maintaining your store connection and for the accuracy of the data in your store.

6. Plans, Subscriptions & Billing

Paid plans are provided through Zid app subscriptions and our payment processor Moyasar, and renew on a recurring basis until cancelled. Free trials convert to a paid plan unless cancelled before the trial ends. Fees are exclusive of VAT and any other applicable taxes, which are added where required. Each plan includes a monthly message quota; if you exceed your quota, message sending may be paused until the next period or until you upgrade.

7. Acceptable Use & Messaging Obligations

You may only message customers who have given valid, WhatsApp-specific opt-in, and you must keep records of that consent. You must honor opt-outs promptly and comply with the WhatsApp Business Messaging Policy and Meta's terms. You agree not to send spam, unlawful, misleading, or infringing content, not to use the Service to violate any law or third-party right, and not to interfere with, scrape, reverse engineer, or resell the Service without authorization.

8. Data & Privacy

For your customers' personal data you are the controller and we act as your processor; you are responsible for having a lawful basis and consent to message those customers. Our handling of data is described in our Privacy Policy. A Data Processing Agreement (DPA) is available on request.

9. Intellectual Property

Vertex owns all rights in the software, brand, and materials that make up the Service. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription. You retain all rights in your own content and data; you grant us the rights needed to operate the Service on your behalf.

10. Third-Party Services

The Service integrates with third-party platforms including Zid, Salla, Meta/WhatsApp, and Moyasar. Your use of those platforms is governed by their own terms, and we are not responsible for their acts, omissions, availability, or changes to their APIs.

11. Availability & “As Is”

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not guarantee uninterrupted or error-free operation, and analytics and delivery data are provided for informational purposes without a warranty of accuracy.

12. Indemnity

You agree to indemnify and hold harmless Vertex and Technominds Establishment from claims, damages, and expenses arising out of your use of the Service, your content or messages, or your breach of these terms or of any law or third-party right — including claims relating to messages sent to your customers without valid consent.

13. Limitation of Liability

To the maximum extent permitted by law, Vertex shall not be liable for indirect, incidental, special, or consequential damages. Our total aggregate liability for any claim relating to an app is capped at the fees you paid for that app in the twelve (12) months preceding the event giving rise to the claim.

14. Suspension & Termination

We may suspend or terminate your access for violation of these terms, for non-payment, or where required to protect the Service or comply with law. You may cancel your subscription at any time through Zid or your account settings. On termination, your license to use the Service ends and we will handle your data as described in the Privacy Policy.

15. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes via email or a notice in the product. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

16. Governing Law & Jurisdiction

These terms are governed by the laws of the Kingdom of Saudi Arabia. Any dispute arising out of or relating to these terms or the Service is subject to the exclusive jurisdiction of the competent courts of the Kingdom of Saudi Arabia.
